1. Agreement and scope
These Terms of Use ("Terms") are an agreement between you and the developer of AuConvy ("AuConvy," "we," "us," or "our"). They apply to the Audio Converter AuConvy application for iOS and Android, this website, support channels, and related features (together, the "Services").
Our Privacy Policy explains how information is handled and is incorporated into these Terms by reference. Additional terms displayed by Apple, Google, or another provider may also apply to store downloads, payments, subscriptions, and third-party services.
2. Eligibility
You must be at least 13 years old to use AuConvy, or older if the law where you live requires a higher minimum age. If you are under the age of legal majority, you may use AuConvy only with permission from a parent or legal guardian who agrees to these Terms on your behalf.
3. What AuConvy provides
AuConvy provides tools that may convert audio and video files, extract audio, batch-process files, trim, cut, split, and change audio speed, and enhance speech or reduce background noise. Supported formats, quality, availability, performance, and feature access can vary by device, operating system, file, app version, and subscription or purchase status.
Audio processing is performed on your device. Some features require a network connection for setup, entitlement checks, configuration, updates, model downloads, or store services. You are responsible for maintaining a compatible device, sufficient storage, and any network charges.
4. Limited license
Subject to these Terms, AuConvy grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the app on devices you own or control for lawful personal or internal business purposes, consistent with applicable app-store rules.
This license does not transfer ownership of AuConvy, its code, interface, branding, models, content, or other intellectual property.
5. Your files and responsibilities
You retain all rights you have in the audio, video, recordings, and other files you select or create. We do not claim ownership of your files and, because core processing is local, you do not grant us a license to use the contents of those files merely by converting, editing, or enhancing them in AuConvy.
You are responsible for:
- Having all rights and permissions needed to access, process, edit, convert, save, and share a file.
- Complying with copyright, privacy, publicity, contract, recording-consent, and other applicable laws.
- Reviewing outputs before relying on or distributing them.
- Keeping appropriate backups of important source files and results.
- Making sure a chosen format and quality are suitable for your intended device or service.
6. Acceptable use
You may not use the Services to:
- Violate law or another person's intellectual-property, privacy, publicity, or contractual rights.
- Process or distribute content you do not have the legal right to use.
- Introduce malware, harmful code, or files intended to damage a device, service, or person.
- Probe, disrupt, overload, or bypass the security or operation of the Services.
- Circumvent purchase, subscription, usage-limit, access-control, or entitlement mechanisms.
- Reverse engineer, decompile, disassemble, copy, modify, or create derivative works from the Services, except to the limited extent applicable law expressly permits despite this restriction.
- Sell, rent, sublicense, redistribute, or make the Services available as a competing hosted service.
- Misrepresent your relationship with AuConvy or use AuConvy branding without permission.
7. Paid features, subscriptions, and purchases
Some features may require AuConvy Pro, a subscription, a one-time purchase, or another paid entitlement. The price, billing period, included features, renewal terms, and any trial or introductory offer shown on the store purchase screen at the time of purchase control that transaction.
- Payments are charged to your Apple App Store or Google Play account after confirmation.
- Recurring subscriptions automatically renew unless canceled through the applicable store before the renewal deadline shown by that store.
- You can manage or cancel subscriptions through your Apple or Google account settings.
- Refund requests are handled under the rules and processes of the store that processed payment.
- A "lifetime" purchase means access for the supported lifetime of that paid product on the applicable platform and store account; it does not guarantee that the app or every feature will exist forever.
We may change paid offerings prospectively, but changes will not alter a completed one-time transaction or an active subscription except as permitted by the applicable store and law.
8. Third-party services
AuConvy relies on third-party software and services, which may include Apple, Google, Firebase, RevenueCat, analytics providers, open-source codecs, file-system integrations, and model-delivery infrastructure. Third-party services are governed by their own terms and policies. We do not control and are not responsible for their independent acts, omissions, availability, or policy changes.
9. Updates, changes, and availability
We may update, add, limit, suspend, or discontinue all or part of the Services. Updates may be required for compatibility, security, legal compliance, or continued access. We do not promise that every feature, format, or third-party integration will always remain available.
We aim to provide reliable tools but do not guarantee uninterrupted, timely, secure, or error-free operation. Maintenance, store review, network conditions, device limitations, and third-party outages may affect availability.
10. Intellectual property and feedback
AuConvy and its licensors own all rights in the Services other than your files, including software, designs, text, graphics, trademarks, app icons, workflows, processing models, and documentation. All rights not expressly granted are reserved.
If you voluntarily submit feedback or suggestions, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation, without identifying you unless you separately agree.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR QUIET ENJOYMENT.
Audio conversion and enhancement can change quality, loudness, metadata, channel layout, timing, file size, codec compatibility, or other characteristics. Noise reduction and speech enhancement may produce artifacts or remove desired sound. We do not warrant that a result will meet your expectations, preserve every original property, or be accepted by every app, device, or service.
Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you. Nothing in these Terms limits rights that cannot lawfully be waived.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUCONVY AND ITS DEVELOPERS, LICENSORS, SERVICE PROVIDERS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA, FILES, PROFITS, REVENUE, BUSINESS, OR GOODWILL; OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR AUCONVY DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR USD $25.
These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose. They do not apply where prohibited by law.
13. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless AuConvy and its developers, licensors, service providers, and affiliates from claims, losses, liabilities, and reasonable costs arising from your files, your unlawful or unauthorized use of the Services, or your material breach of these Terms. This section does not apply to the extent a claim results from our own unlawful conduct.
14. Suspension and termination
You may stop using AuConvy at any time. We may suspend or terminate access to online or paid features if you materially violate these Terms, misuse the Services, create security or legal risk, or if continued service is not reasonably possible. Store-managed subscriptions must be canceled through the applicable store even if you uninstall the app.
Sections that by their nature should survive termination - including ownership, disclaimers, limitations of liability, indemnity, and dispute-related provisions - will survive.
15. Applicable law and disputes
These Terms are governed by applicable law, without overriding any mandatory consumer protections you have where you live. Before filing a formal claim, please contact us and provide enough detail for us to try to resolve the issue informally. You may also have rights through Apple, Google, a consumer authority, or a local court that these Terms cannot restrict.
16. Changes to these Terms
We may update these Terms to reflect changes to the Services, law, or business practices. We will post the revised Terms here and update the date above. If a change is material, we may also provide notice in the app. By continuing to use the Services after revised Terms take effect, you agree to the revised Terms.
17. General terms
These Terms and the Privacy Policy are the entire agreement between you and AuConvy about the Services, except for additional store terms. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will stay in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a business transaction or by operation of law.
